HOSTIQ USER AGREEMENT

This User Agreement (“Agreement”) is entered into between MySoftware LLC, a Florida limited liability company doing business as HostIQ (“HostIQ,” “Company,” “we,” “us,” or “our”), and the individual or entity accessing or using the HostIQ software and services (“you” or “User”).

By creating an account, subscribing to, accessing, or using HostIQ, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are using HostIQ on behalf of a company or other organization, you represent that you have authority to bind that organization to this Agreement.

If you do not agree to this Agreement, you may not use HostIQ.

1. HostIQ Services

HostIQ is a subscription-based software platform designed for short-term rental (“STR”) owners, operators, and property managers.

Depending on your subscription, HostIQ may provide features including analytics, dashboards, business intelligence, forecasting, revenue goals, guest relationship management, AI-generated insights, suggested actions, automated workflows, and other tools intended to help Users manage and grow their STR businesses.

HostIQ may connect with third-party Property Management Systems (“PMS”), market-data providers, artificial intelligence providers, and other third-party services in order to provide these features.

HostIQ is intended for business and commercial use in connection with STR operations.

2. Free Trial

New Users are eligible for a 30-day free trial, unless a different trial period is expressly stated at the time of registration.

No subscription fee is charged during the trial period.

At or before the end of the trial, you must select a paid subscription in order to continue using HostIQ. If you do not begin a paid subscription, your access to HostIQ may automatically end when the trial expires.

HostIQ reserves the right to limit free trials to one trial per User, business, organization, payment method, or related account and to deny or terminate trials that we reasonably believe are being abused.

3. Monthly Subscription Pricing

Unless otherwise stated at the time of purchase, HostIQ's standard monthly subscription pricing is:

$14.99 per month for the first property; and
$11.99 per month for each additional property.

Monthly subscriptions are billed in advance and automatically renew each month until canceled.

Applicable taxes, if any, may be added to subscription charges.

If the number of properties connected to your HostIQ account changes, your subscription charges may be adjusted accordingly. Any applicable additional charge or credit associated with a change in property count will be disclosed through HostIQ or the applicable billing process.

4. Annual Subscription

Users may elect a 365-day annual subscription.

The annual subscription provides 12 months of HostIQ service for the price of 10 months based on the applicable monthly subscription rates for the properties included in the subscription.

Accordingly, the final two months of each 365-day annual subscription term are provided at no additional subscription charge.

Unless otherwise stated during checkout, the annual subscription fee is charged in advance at the beginning of the annual subscription term.

The annual subscription term begins after completion of any applicable free trial unless otherwise disclosed when you subscribe.

Changes in the number of properties during an annual subscription term may result in additional charges or adjustments as disclosed through HostIQ at the time of the change.

5. AUTOMATIC RENEWAL

IMPORTANT: HOSTIQ SUBSCRIPTIONS AUTOMATICALLY RENEW UNTIL CANCELED.

MONTHLY SUBSCRIPTIONS automatically renew for successive monthly billing periods. Unless you cancel before your next renewal date, the payment method associated with your account will be charged the applicable subscription fees for the next month.

ANNUAL SUBSCRIPTIONS automatically renew for successive 365-day terms. Unless you cancel before your annual renewal date, the payment method associated with your account will be charged the applicable annual subscription fee for the next 365-day term.

CANCELING AN ANNUAL SUBSCRIPTION DURING AN EXISTING 365-DAY TERM PREVENTS THE SUBSCRIPTION FROM RENEWING FOR ANOTHER ANNUAL TERM. IT DOES NOT SHORTEN THE CURRENT ANNUAL TERM AND DOES NOT ENTITLE YOU TO A REFUND OF THE ANNUAL SUBSCRIPTION FEE. YOU WILL CONTINUE TO HAVE ACCESS THROUGH THE END OF THE CURRENT 365-DAY TERM, INCLUDING THE FINAL TWO MONTHS PROVIDED AT NO ADDITIONAL SUBSCRIPTION CHARGE.

Renewal pricing will be based on the applicable HostIQ pricing and number of subscribed properties at the time of renewal.

Where required by applicable law, HostIQ will provide any required advance notice concerning automatic renewal or changes to subscription pricing.

6. Payment Authorization

By providing a payment method, you authorize MySoftware LLC and its payment-processing providers to charge that payment method for subscription fees, renewals, applicable property additions, taxes, and other charges you authorize in connection with HostIQ.

You are responsible for maintaining accurate and current billing information.

If payment cannot be processed, HostIQ may suspend or restrict access to the Service until payment is successfully completed.

7. Cancellation and Termination

Monthly Subscriptions

You may cancel a monthly subscription at any time through the cancellation method made available by HostIQ.

Cancellation prevents the next monthly renewal. You will ordinarily retain access through the end of the billing period for which you have already paid.

Fees already paid are non-refundable, and no prorated refunds or credits will be provided for an unused portion of a monthly billing period except where required by law.

Annual Subscriptions

You may cancel an annual subscription at any time. Cancellation prevents renewal for another 365-day term.

Because the annual subscription is a 365-day commitment provided at discounted pricing, cancellation does not produce a prorated refund or shorten the current subscription term. Your access will continue through the end of the current annual term unless the account is terminated for violation of this Agreement.

Termination by HostIQ

HostIQ may suspend or terminate your access if you:

fail to pay amounts when due;
materially violate this Agreement;
misuse the Service;
create a security, legal, or operational risk; or
use HostIQ in a manner that could harm HostIQ, another User, a third-party service, or another person.

If HostIQ terminates a prepaid subscription without cause, we may provide a prorated refund of unused prepaid subscription fees. No refund is required when termination results from your violation of this Agreement.

8. PMS and Third-Party Services

Many HostIQ features depend on connections with supported PMS platforms and other third-party services.

You are responsible for maintaining any third-party accounts, subscriptions, credentials, permissions, or authorizations required for those integrations.

If a PMS or other third-party service is disconnected, discontinued, unavailable, changes its API, restricts access to information, experiences an outage, or otherwise changes how its services operate, some HostIQ functionality may become limited, delayed, inaccurate, or unavailable.

Switching PMS providers may require reauthorization, configuration changes, or migration of information and may affect the availability of historical information.

HostIQ does not control third-party services and is not responsible for their availability, functionality, security, data accuracy, API changes, outages, acts, omissions, or decisions.

9. User Data

“User Data” includes information that you, your PMS, or another authorized third-party integration provides to HostIQ, including property information, reservation information, pricing, availability, guest information, communications, preferences, and related STR business information.

As between you and HostIQ, you retain ownership of your User Data.

You grant HostIQ a limited right to access, host, process, analyze, transmit, and otherwise use User Data as reasonably necessary to provide, maintain, secure, improve, and support the HostIQ Service.

You represent that you have the rights, permissions, and lawful authority necessary to provide User Data to HostIQ and permit HostIQ to process it in connection with the Service.

HostIQ may use aggregated or de-identified information that does not reasonably identify you, your properties, or individual guests for analytics, product improvement, benchmarking, security, and development of the Service.

HostIQ may use third-party technology and service providers to process information as reasonably necessary to operate the Service.

10. Data Accuracy, Availability, and Retention

HostIQ depends on information obtained from Users and third-party systems. We do not independently guarantee the accuracy, completeness, currency, or integrity of information obtained from those sources.

You are responsible for reviewing information that is material to your business before relying upon it.

Following cancellation or termination, HostIQ may delete or make inaccessible User Data in accordance with our data-retention practices, subject to applicable legal, security, backup, and operational requirements.

You are responsible for exporting or preserving any information you wish to retain before your access to HostIQ ends.

Residual copies of information may remain temporarily in backups, security systems, logs, or other systems as reasonably necessary for legal, security, disaster recovery, or operational purposes.

11. AI-Generated Insights, Recommendations, and Automated Actions

HostIQ may use artificial intelligence, machine learning, statistical analysis, market information, historical performance, PMS information, guest information, and other data to generate forecasts, summaries, recommendations, suggested actions, communications, or other outputs.

These outputs are intended to assist you in making business decisions. They are not guarantees.

AI-generated and data-driven outputs may occasionally be inaccurate, incomplete, outdated, inappropriate for a particular situation, or based on incorrect or incomplete underlying information.

HostIQ does not guarantee that any forecast, recommendation, suggested price, strategy, communication, opportunity, or automated action will:

increase revenue, occupancy, ADR, bookings, profitability, or guest satisfaction;
improve performance on Airbnb, Vrbo, or any other marketplace;
produce a specific financial or operational result;
accurately predict future demand, market conditions, or guest behavior; or
be appropriate for every property, market, guest, or business situation.

You remain responsible for reviewing and deciding whether to use HostIQ-generated information and recommendations.

HostIQ does not provide legal, accounting, tax, investment, or other licensed professional advice.

Automated Features

HostIQ may offer features that allow Users to authorize the Service to initiate, prepare, schedule, transmit, or perform certain actions automatically.

If you enable an automated feature, you authorize HostIQ to perform the selected actions according to the settings, rules, permissions, and information associated with your account.

You remain responsible for:

determining whether an automated feature is appropriate for your business;
configuring and reviewing automation settings;
maintaining accurate information and permissions;
monitoring material automated activity; and
complying with laws, regulations, PMS requirements, marketplace rules, and contractual obligations applicable to your business.

You may disable available automated features through the controls provided by HostIQ.

12. User Responsibilities and Acceptable Use

You are responsible for your HostIQ account, including maintaining the confidentiality of your login credentials and all activity performed through your account.

You agree not to:

access or use HostIQ for unlawful, fraudulent, or abusive purposes;
attempt to gain unauthorized access to HostIQ or another User's account;
interfere with or disrupt HostIQ systems or connected services;
reverse engineer, decompile, disassemble, scrape, copy, or attempt to discover the source code or underlying proprietary technology of HostIQ except where such restriction is prohibited by law;
use HostIQ to infringe the rights of another person;
upload or transmit malicious software or harmful code; or
use HostIQ in a manner that materially exceeds or circumvents the intended scope of your subscription.

You are solely responsible for your STR operations and for ensuring that communications, marketing activities, pricing decisions, guest interactions, and other actions taken through or based upon HostIQ comply with applicable laws, regulations, agreements, marketplace rules, and third-party requirements.

13. HostIQ Intellectual Property

HostIQ, including its software, technology, interfaces, design, algorithms, AI systems, workflows, documentation, trademarks, logos, reports, and other proprietary materials, is owned by or licensed to MySoftware LLC and is protected by applicable intellectual property laws.

Subject to your compliance with this Agreement and payment of applicable fees, HostIQ grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your subscription term for your internal business purposes.

No ownership interest in HostIQ or its underlying technology is transferred to you.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, HOSTIQ IS PROVIDED “AS IS” AND “AS AVAILABLE.”

MYSOFTWARE LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT HOSTIQ WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT ALL DEFECTS WILL BE CORRECTED.

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF DATA, ANALYTICS, FORECASTS, RECOMMENDATIONS, AI-GENERATED OUTPUTS, OR THIRD-PARTY INFORMATION PROVIDED THROUGH HOSTIQ.

YOUR USE OF HOSTIQ AND YOUR BUSINESS DECISIONS BASED UPON HOSTIQ ARE AT YOUR DISCRETION AND RISK.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYSOFTWARE LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BOOKINGS, BUSINESS OPPORTUNITY, GOODWILL, OR DATA, ARISING FROM OR RELATING TO HOSTIQ OR THIS AGREEMENT, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MYSOFTWARE LLC ARISING OUT OF OR RELATING TO HOSTIQ OR THIS AGREEMENT WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO MYSOFTWARE LLC DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory upon which a claim is based, including contract, tort, negligence, strict liability, or otherwise.

Nothing in this Agreement excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

16. Indemnification

You agree to indemnify, defend, and hold harmless MySoftware LLC and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable attorneys' fees and costs arising from or relating to:

your User Data;
your use or misuse of HostIQ;
your STR operations or business practices;
communications or marketing initiated by you or through your account;
your violation of applicable law, marketplace rules, PMS requirements, or third-party rights;
your violation of this Agreement; or
actions taken through HostIQ using permissions or automation settings authorized through your account.

17. Changes to HostIQ, Pricing, and this Agreement

HostIQ is an evolving software platform. We may add, modify, replace, or discontinue features from time to time.

We may also change subscription pricing.

For an existing prepaid annual subscription, a pricing change will not increase the subscription fee for the current paid annual term and will ordinarily become effective at the next renewal.

For monthly subscriptions, pricing changes may become effective beginning with a future renewal after reasonable notice.

We may modify this Agreement from time to time. If a change is material, we will provide reasonable notice through HostIQ, by email, or by another reasonable method.

Continued use of HostIQ after an updated Agreement becomes effective constitutes acceptance of the revised Agreement to the extent permitted by applicable law.

18. Governing Law and Venue

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal action or proceeding arising out of or relating to this Agreement or HostIQ shall be brought exclusively in the state courts located in St. Johns County, Florida, or the United States District Court for the Middle District of Florida, Jacksonville Division, as applicable.

You and MySoftware LLC consent to the personal jurisdiction and venue of those courts.

19. General Terms

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable where permitted by law.

Failure by either party to enforce a provision of this Agreement does not waive the right to enforce that provision later.

You may not assign or transfer this Agreement without the prior written consent of MySoftware LLC. MySoftware LLC may assign this Agreement in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or similar transaction.

Neither party will be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, internet or telecommunications failures, third-party platform outages, governmental actions, labor disputes, or other force majeure events.

This Agreement, together with any applicable order, subscription terms, and policies expressly incorporated into it, constitutes the entire agreement between you and MySoftware LLC concerning your use of HostIQ and supersedes prior agreements or communications concerning the same subject matter.

Electronic acceptance of this Agreement has the same effect as a written signature.
